Een non-concurrentiebeding moet op straffe van nietigheid schriftelijk worden overeengekomen tussen werkgever en werknemer. Volgens het Burgerlijk Wetboek mag een non-concurrentiebeding in een arbeidsovereenkomst voor bepaalde tijd alleen worden opgenomen als er zwaarwegende bedrijfs- of dienstbelangen voor zijn. Deze belangen en de motivering waarom die belangen het opnemen van een non-concurrentiebeding noodzakelijk maken moeten worden opgenomen in het beding. De werkgever moet per geval motiveren welke zwaarwegende belangen een concurrentiebeding vereisen. De motivering voor een non-concurrentiebeding kan zijn gelegen in specifieke kennis of bedrijfsinformatie die de werknemer opdoet in de functie.
Hof Den Bosch heeft onlangs geoordeeld dat de tekst van een non-concurrentiebeding, dat door een werkgever voor alle commerciële functies binnen zijn bedrijf werd gebruikt, niet voldeed aan de voorwaarde van een specifieke afweging en motivering per geval. Het was de werkgever daarom niet toegestaan om het non-concurrentiebeding op te nemen in arbeidsovereenkomsten voor bepaalde tijd. Volgens het hof had de motivering van het concurrentiebeding specifieker toegesneden kunnen en moeten worden op de werkzaamheden die de betrokken werknemer feitelijk vervulde.
Omdat er geen rechtsgeldig non-concurrentiebeding tussen partijen was overeengekomen wees het hof de vordering van de werkgever tot nakoming daarvan af.
